1. Overview of ValidDs

ValidDs is a product research and validation platform that helps ecommerce sellers evaluate potential products, understand market signals, and make more informed sourcing, advertising, and store decisions.

ValidDs may provide product research tools, validation scores, market insights, analytics, recommendations, saved research, integrations, and related ecommerce decision-support features.

2. Eligibility

You must be legally able to enter into these Terms to use ValidDs. If you use ValidDs on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Accounts

You agree to provide accurate account information and keep it updated.

You are responsible for:

• •Promptly notifying us of unauthorized access or security issues

We may suspend or terminate accounts that violate these Terms or create risk for ValidDs, our users, or third-party platforms.

4. Connected Platforms and Integrations

ValidDs may allow you to connect accounts from platforms such as Shopify, Meta, advertising platforms, analytics providers, or other third-party services.

By connecting a third-party account, you authorize ValidDs to access and process the data permitted by that platform and approved by you.

You are responsible for complying with the terms, policies, and laws that apply to your use of Shopify, Meta, and any other connected services.

ValidDs does not control third-party platforms and is not responsible for their services, policies, outages, data, or actions.

5. No Guarantee of Results

ValidDs provides research, analysis, insights, and decision-support tools.

ValidDs does not guarantee:

• •Profit
• •Advertising performance
• •Store performance
• •Supplier reliability
• •Market demand
• •Return on investment
• •Any specific business outcome

You are responsible for your own business decisions, including product selection, sourcing, pricing, advertising, compliance, and store operations.

6. Acceptable Use

You agree not to:

• •Use ValidDs for illegal, harmful, fraudulent, or abusive purposes
• •Violate any law, regulation, or third-party right
• •Reverse engineer, copy, resell, or exploit ValidDs without permission
• •Interfere with or disrupt the service
• •Attempt to gain unauthorized access to systems or data
• •Abuse APIs, scrape excessively, or bypass rate limits
• •Upload malware or harmful code
• •Misrepresent your identity or business
• •Use ValidDs in a way that violates Shopify, Meta, or other third-party platform rules

7. Subscriptions, Billing, and Payments

If ValidDs offers paid plans, you agree to pay all applicable fees.

Subscription terms, pricing, renewals, cancellations, and refunds will be shown at checkout or in your account.

Unless otherwise stated:

• •Subscriptions may renew automatically
• •You may cancel future renewals through your account or by contacting support
• •Fees already paid are non-refundable except where required by law or expressly stated by ValidDs

Payments may be processed by third-party providers such as Stripe, Shopify, or another billing provider.

8. Intellectual Property

ValidDs and its software, branding, design, technology, content, and features are owned by ValidDs or its licensors.

You may not copy, modify, distribute, sell, lease, or create derivative works from ValidDs unless we give written permission.

You retain ownership of your store data, product research inputs, business information, and content you provide. You grant ValidDs permission to use that information as needed to provide, operate, secure, and improve the service.

9. Feedback

If you provide suggestions, ideas, or feedback, you allow ValidDs to use them without restriction or compensation.

10. Privacy

11. Service Availability

We aim to keep ValidDs reliable, but we do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue parts of the service at any time.

12. Termination

You may stop using ValidDs at any time.

We may suspend or terminate your access if:

• Your use creates legal, security, or operational risk
• Required by law or third-party platform rules
• Your account is inactive or unpaid, where applicable

After termination, some provisions will continue, including payment obligations, intellectual property rights, disclaimers, limits of liability, and dispute terms.

13. Disclaimers

ValidDs is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

14. Limitation of Liability

To the maximum extent permitted by law, ValidDs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

To the maximum extent permitted by law, ValidDs’ total liability for any claim related to the service will not exceed the amount you paid to ValidDs in the three months before the claim arose, or $100 if you have not paid ValidDs.

15. Indemnification

You agree to defend, indemnify, and hold harmless ValidDs from claims, damages, liabilities, costs, and expenses arising from:

• •Your violation of law or third-party rights
• •Your products, store, advertising, suppliers, or business activities
• •Your use of Shopify, Meta, or other connected platforms

16. Changes to These Terms

These Terms are governed by the laws of the jurisdiction where ValidDs operates, without regard to conflict of law rules.
